General information

Short Summary
A Romanian software developer offers a cloud (SaaS) platform that automates the preliminary due-diligence work in company acquisitions. . The company is looking for M&A advisory firms, accountancy and consultancy practices, and B2B software resellers to act as commercial agents or distributors of the platform in their national markets.
Full Description
Small acquisition teams — search funds, independent sponsors, boutique M&A advisors and micro-PE firms — review the same volume of CIMs, financials and legal documents as much larger firms, but without analysts or back-office staff. First-pass diligence on a single target can take days of senior time, most of it spent on deals that never close, and critical inconsistencies between the CIM, the financial statements and what management said often surface only after a letter of intent is signed.
The company has developed a cloud-based platform that automates this preliminary layer. A user uploads a CIM and supporting documents; within minutes the system returns a screening brief, a contradiction map, a missing-document register and a stage-appropriate question list. Each output is source-linked: every claim carries a verbatim quote that is automatically verified against the original page, and any claim that cannot be verified is discarded before the user sees it. The platform is self-serve, runs on a monthly subscription, and keeps each client’s documents hard-isolated; all data is processed in the EU under GDPR.
The platform is built and operated by the same team that delivers the company’s enterprise-automation services (see separate profile), on owned, containerised infrastructure — production-grade engineering applied to deal operations. The company seeks partners in other European markets who already serve acquirers and advisory clients, and who can introduce, resell or co-deliver the platform locally under a commercial-agency, distribution or services agreement.
Advantages and Innovations
• Verified, page-level citations on every claim — output is auditable and engineered to prevent AI hallucination.
• Automatic contradiction detection across CIM, financials, tax returns and management notes, before commitment rather than after the LOI.
• Living document-control register: what the data room should contain, what has arrived, what is missing and what to request next.
• Self-serve and fast: a workspace and first cited brief are available within minutes, with no implementation project.
• EU-based, GDPR-compliant processing with hard data isolation per client — a differentiator for confidential deal documents.
